Welcome to Deutsche Consulting Pvt Ltd trading as Deutsche Consulting. By engaging with our services, visiting our website, or entering into any business agreement with us, you agree to comply with and be bound by the following Terms and Conditions (“Terms”). These Terms govern the relationship between you and Deutsche Consulting Private Limited in relation to our legal, financial, and human resource consultancy services.

Definitions

•“Deutsche Consulting Private Limited” / “We” / “Us” / “Our” refers to Deutsche Consulting Pvt Ltd trading as Deutsche Consulting, its directors, affiliates, subsidiaries, and authorized representatives.
•“Client” / “You” / “Your” refers to the individual, company, user, or organization engaging Deutsche Consulting Private Limited’s services.
• “Services” means the consultancy services offered by Deutsche Consulting Private Limited in the fields of legal, financial, and HR solutions.
• “Agreement” refers to these Terms and any signed contracts or service- level agreements (SLAs).

Scope of Services

Deutsche Consulting Private Limited offers professional consulting services that include but are not limited to:

• Corporate Legal Advisory (e.g., business compliance, contracts, corporate structure)
• Financial Services (e.g., planning, compliance, taxation)
• Human Resources Management (e.g., audits, policy development, staff advisory)
Service scopes and deliverables will be defined in writing before commencement of engagement.

Client Obligations

• Clients must provide accurate, complete, and timely information to enable successful service delivery.
• Any delay or failure caused due to incomplete or inaccurate information from the client will not be Deutsche Consulting Private Limited’s responsibility.
• Clients must not provide false, misleading, or fraudulent documents or information.

Service Fees and Payment Terms

• All service fees must be paid as per the signed agreement or invoice terms.
• Invoices are subject to GST (where applicable), and all payments must be made in INR/USD unless otherwise agreed.
• Partial payments or delayed payments may result in suspension or termination of services.

Note: All payments must be made to the official bank account of Deutsche Consulting Private Limited or through online payment/ razorpay . Receipts are issued digitally upon confirmation. Deutsche Consulting Private Limited is not liable for payments made to unauthorized individuals.

Refunds

Refunds are subject to the Deutsche Consulting Private Limited encouraged to review prior to signing any agreement. Deutsche Consulting Private Limited offer refunds in the following non-exhaustive situations:

• Voluntary withdrawal of service by the client
• Use of fraudulent documentation or misrepresentation by client
• Breach of contract by the client
• Failure to meet compliance or eligibility requirements by client set by any law that comes into force or any existing law is modified after signing of agreement.

Approved refunds (where applicable) will be processed within 30 business days, net of administrative charges and non-refundable components (e.g., taxes, third-party fees).

Anti-Fraud and Ethical Conduct

Deutsche Consulting Private Limited maintains a strict Anti-Fraud Policy. Clients must not:

• Offer bribes monetarily or of any kind to Deutsche Consulting Private Limited staff or any legal authority
• Enter into unofficial or unauthorised arrangements or pay unofficial sum
• Submit falsified documentation or data
Any such action may result in immediate termination, legal reporting, and forfeiture of fees.

Guarantees and Outcomes

Deutsche Consulting Private Limited does not guarantee specific outcomes (non-exhaustive) of those beyond our control such as:

• Approval of business registrations
• Government grants or licenses
• Government Scrutiny
Our services involve professional guidance and compliance support, not outcome assurances. Results depend on factors outside Deutsche Consulting Private Limited's control, such as third-party decision-makers, government bodies, and your personal qualifications.

Third-Party Vendors and Disclaimers

• Deutsche Consulting Private Limited may recommend third-party services (e.g., legal representatives, accountants, software providers), but does not guarantee their performance.
• Any agreements entered into with unapproved external vendors are at your own discretion.
• Deutsche Consulting Private Limited is not responsible for any damages, losses, or liabilities caused by unapproved third-party service providers.

Intellectual Property

All content, strategies, reports, documents, and frameworks provided by Deutsche Consulting Private Limited remain the intellectual property of Deutsche Consulting Private Limited unless explicitly transferred via written agreement. Clients are granted a limited, non-transferable license to use such materials for internal purposes only.

Termination of Service

Deutsche Consulting Private Limited reserves the right to terminate services under the following non- exhaustive conditions:

• Non-payment of dues
• Breach of contract
• Fraudulent activity
• Disrespectful or abusive conduct toward staff, other clients, employer, employee, stakeholders, etc.
• Legal or compliance conflict
Upon termination, Deutsche Consulting Private Limited will issue a final invoice depending on the case where refund is not a right but rather a internal decision based on the circumstances, and no further claims shall be entertained.

Limitation of Liability

Deutsche Consulting Private Limited shall not be liable for:

• Any indirect or consequential loss
• Loss of profits or anticipated revenue
• Fraudulent activity
• Delays caused by third-party authorities Delays caused by third-party authorities
• Loss due to misinformation or fraudulent inputs from the client
Deutsche Consulting Private Limited's total liability under any engagement shall not exceed the fees paid by the client for the service in question.

Amendments to Terms

Deutsche Consulting Private Limited reserves the right to modify these Terms at any time. Updates will be posted on our official website or communicated via email. Continued use of our services implies acceptance of the modified terms.

Confidentiality and Data Privacy

Deutsche Consulting Private Limited maintains strict confidentiality regarding all client information, in compliance with the Digital Personal Data Protection (DPDP) Act 2023 .We do not disclose personal or business data to third parties unless required by law or as part of a subcontracted service (with prior client consent).

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of India.
